3. User Accounts

Some of our services require you to create an account. When creating an account, you agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.

4.1 Our Content

6. Business Central Extensions

For our Business Central extensions:

• Extensions are licensed, not sold

• Extensions are provided for use within Microsoft Dynamics 365 Business Central environments
• You must comply with Microsoft's terms of service

7. SaaS Products

For our SaaS products (such as tackled.io and BC Sidekick):

• Access is provided on a subscription basis
• We reserve the right to modify features with reasonable notice
• You are responsible for maintaining the confidentiality of your login credentials
• Data handling is governed by our Privacy Policy and any applicable Data Processing Agreement

8. Consulting Services

For consulting and development services:

• Specific terms will be outlined in individual service agreements or statements of work
• Deliverables, timelines, and pricing will be agreed upon in writing
• Custom development work is subject to separate intellectual property terms

9. Payment Terms

For paid services:

• Prices are quoted in the currency specified at the time of purchase
• Payment terms will be specified in individual agreements or invoices
• Subscriptions renew automatically unless cancelled before the renewal date
• We reserve the right to suspend services for non-payment

10. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including:

11. Limitation of Liability

To the maximum extent permitted by law, UAB DynamicsWay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or data
• Business interruption
• Cost of substitute services

Our total liability for any claim arising from these Terms or our services shall not exceed the amount paid by you for the specific service giving rise to the claim during the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless UAB DynamicsWay, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights

13. Termination

We may terminate or suspend your access to our services at any time, with or without cause, with or without notice. Upon termination:

• Your right to use our services ceases immediately
• We may delete your account and associated data (subject to legal retention requirements)
• Provisions that by their nature should survive termination will remain in effect

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Lithuania, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Vilnius, Lithuania.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and UAB DynamicsWay regarding the use of our services.
